1. ACCEPTANCE OF TERMS

By clicking “I agree” and uploading any photographic content (“Photos”) to our platform, you (“User,” “you,” or “your”) enter into a binding legal agreement with UEFA, Route de Genève 46, 1206 Nyon, Switzerland (“UEFA,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your use of our photo upload service in connection with the competitions and/or events we organize and own.

2. REPRESENTATIONS AND WARRANTIES

By uploading Photos, you represent and warrant that:

• You have full corporate power and authority to enter into these Terms on behalf of your organization, and the execution and performance of these Terms have been duly authorized by all necessary corporate action on the part of your organization.
• You are the owner of all Photos uploaded or have obtained all necessary rights, licenses, consents, and permissions from all persons or entities depicted in or holding rights to such Photos, including but not limited to:
  
• All Photos are fully cleared for UEFA’s business purposes as set forth herein, and no additional permissions, licenses, or payments are required for such use.
• The Photos do not and will not violate any applicable law, regulation, or third-party rights, including but not limited to rights of privacy, publicity, copyright, trademark, or other intellectual property rights.
• Accuracy: All information provided in connection with the Photos is true, accurate, and complete.

3. GRANT OF RIGHTS

Subject to the limitations set forth herein, you hereby grant to UEFA and its affiliates a perpetual, irrevocable, worldwide, royalty-free, non-exclusive license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display the Photos in any media now known or hereafter developed for UEFA’s business purposes, including but not limited to:

- Marketing and promotional materials

- Website and social media content

- Event documentation and reporting

- Internal business communications

- Public relations activities

Notwithstanding the foregoing, UEFA shall not use the Photos for direct commercial sale or licensing to third parties for monetary consideration without your express written consent.

4. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless UEFA, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from or relating to:

- Your breach of these Terms

- Your violation of any law or the rights of a third party

- Your use of the photo uploader service

- The Photos you upload, including any claims that such Photos infringe upon or violate the rights of any third party

5. DISCLAIMER OF WARRANTIES

THE PHOTO UPLOAD SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. UEFA MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SERVICE OR THE INFORMATION, CONTENT, OR MATERIALS INCLUDED THEREIN. TO THE FULL EXTENT PERMISSIBLE BY APPLICABLE LAW, UEFA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

6. LIMITATION OF LIABILITY

IN NO EVENT SHALL UEFA BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF THE PHOTO UPLOADER SERVICE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF UEFA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. PRIVACY AND DATA PROTECTION

UEFA will handle any personal information in accordance with its Privacy Policy. By uploading Photos, you consent to the collection, use, and disclosure of your personal information as described in www.uefa.com/privacypolicy.

8. TERMINATION

These Terms shall remain in effect until terminated. UEFA may terminate these Terms at any time without notice. The rights and licenses granted to UEFA hereunder shall survive any termination of these Terms.

9. COMPLIANCE WITH LAWS

You agree to comply with all applicable laws and regulations in connection with your use of the photo uploader service and the Photos you provide.

10. MODIFICATIONS

UEFA reserves the right to modify these Terms at any time. Any changes will be effective immediately upon posting. Your continued use of the service after any such changes constitutes your acceptance of the new Terms.

11. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of Switzerland without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Nyon, Switzerland.

12. SEVERABILITY

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.

13. ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and UEFA regarding the subject matter hereof and supersede all prior or contemporaneous understandings regarding such subject matter.

14. ASSIGNMENT

UEFA may assign these Terms, in whole or in part, at any time without notice to you. You may not assign these Terms without UEFA’s prior written consent.
